KINGSGATE Terms of Service

  1. Overview

KINGSGATE provides merchant operations services focused on payment architecture, stability monitoring, compliance guidance, and ecosystem management.

We are not a bank, payment service provider, processor, lender, or financial institution.

All payments and settlements occur through third-party licensed providers selected for the merchant.

By using our services, you agree to these Terms.

  1. Our Role

KINGSGATE acts as a payment operations partner.
We provide:

  • operational guidance

  • payment ecosystem design

  • monitoring and stability support

  • risk and compliance recommendations

  • access coordination with third-party providers

  • performance insight and Guardian oversight

We do not:

  • hold, process, transmit, or settle funds

  • offer merchant accounts

  • underwrite payments

  • guarantee approvals, uptime, or financial outcomes

  1. Merchant Responsibilities

Merchants must:

  • operate legally in all jurisdictions where they sel

  • provide accurate information during onboarding

  • maintain fulfilment, refund, and customer service standards

  • comply with PSP and regulatory requirements

  • avoid misleading or prohibited claims

  • maintain clean, verifiable transaction flows

  • follow KINGSGATE operational recommendations

Failure to meet these requirements may result in suspension or termination.

  1. Third-Party Providers

You agree not to:

Merchants may be connected with external PSPs, processors, gateways, or financial institutions.

 All relationships, verifications, fees, approvals, and decisions made by these providers remain outside KINGSGATE’ control.


Merchants agree to each provider’s terms.
3KINGS is not liable for decisions or actions taken by third-party providers.

  1. Fees

KINGSGATE does not charge onboarding fees or setup costs.


If third-party providers charge onboarding or activation fees, KINGSGATE may cover these upfront and recover them from merchant revenue once processing is stable.
Any performance-based or service fees will be disclosed in writing before activation.

  1. Confidentiality

Both parties agree to keep internal strategies, business information, access credentials, and proprietary methods confidential.

  1. Limitation of Liability

KINGSGATE is not liable for:

  • processor shutdowns

  • bank decisions

  • payment holds or freezes

  • compliance actions by third parties

  • declines, outages, or technical failures outside our control

  • financial loss caused by merchant actions or traffic sources

  • 3KINGS provides guidance and oversight, not guarantees.

  1. Termination

Either party may terminate the relationship with written notice.
KINGSGATE may terminate immediately if a merchant:

  • violates laws

  • breaches PSP rules

  • provides false information

  • engages in high-risk or fraudulent behavior

  • refuses operational corrections

  1. Governing Law

These Terms are governed by the laws of the jurisdiction where KINGSGATE operates.
